1. Definitions

Digitain: based in Waalwijk, CoC 83449167.
Client: the party purchasing services or products.
Services: all forms of consultancy, execution and digital products.

2. Applicability

These terms apply to all offers, agreements and deliveries by Digitain, unless agreed otherwise in writing.

3. Quotes and agreements

Quotes are valid for 30 days. An agreement is formed upon written approval (including email) or upon payment for a digital product.

4. Performance

Digitain will perform services to the best of its insight and ability. Deadlines are indicative unless explicitly agreed as a hard deadline.

5. Pricing and payment

• All prices on the website include VAT, unless stated otherwise.
• Invoice payment term: 14 days, unless agreed otherwise.
• Digital products are paid up front via Stripe.

6. Withdrawal. Digital products

Digital products (audits, reports, downloads) are delivered immediately upon payment. The client expressly waives the right of withdrawal as soon as delivery has started, in line with article 6:230p sub a Dutch Civil Code.

7. Liability

Digitain's liability is limited to the amount paid out under its professional liability insurance for the case at hand, or. If not applicable. The amount the client has paid in the last 3 months.

8. Intellectual property

All materials developed by Digitain remain Digitain's property until full payment. After that, the client receives a usage right for the agreed purpose.

9. Confidentiality

Both parties handle confidential information with care and do not share it with third parties without consent.

10. Governing law

Dutch law applies to all agreements. Disputes are submitted to the competent court in the district where Digitain is based.
